  • Strict Name Rules (please read before writing the name)

  • The name MUST be in French. If in any other words, it must be translated into French correctly. The name MUST contain 2 components:
    1. The generic or descriptive component: This is a word or group of words that describes the nature of business. It can be common French word.
    2. The unique or distinctive component: this is the specific component, a word or group of words that clearly distinguishes one business from another. It should be unique or distinctive word.
      Example: Quincaillerie Saint-Jean. 'Quincaillerie ' is the generic component, 'Saint-Jean' is unique component.

  • What is NUANS report?
    Business must be registered in an approved name. To get this name approval from the provincial government, a NUANS report must be submitted.
  • How fast I can get documents?
    It depends on your jurisdiction and the service speed you select. The timeline mentioned is an approximation and subject to government approval.
  • What documents I will get?
    You will receive final business registration certificates (that has business registration number) in email by the service speed you chose. Afterwards, other services such as GST/HST account, CRA business number etc. will be emailed.

    Well, this is just a brief introduction about your business. You may list down 3 major activities in a single sentence which your business involves with.
  • What date to be selected as start date?
    The date that you want to register your business. If you choose a future date, please be advised, you will not get registration documents until that date arrives. So, most people select current today's date.

  • Why need to upload ID?
    As per Alberta government requirement, a valid government issued photo ID (passport or Driving License) must be submitted.

  • What is business number?
    Every business in Canada must have a business number from CRA. This is the identification of your corporation with Canada Revenue Agency.
  • What is GST/HST account?
    Every business must have a GST/HST account to collect GST/HST upon sales. Customer's invoice or receipt must show the GST/HST number. Unable to collect GST/HST, may cause penalty by CRA.
  • What is payroll account?
    Payroll account is applicable in all cases. Even if you do not have an employee, your own salary to be processed through payroll account. Please note, this is not payroll service, but the initial set up of payroll account with CRA.
  • Do I need PST account?
    A PST account is needed for your province to collect PST, unless you are a PST exempted individual.
  • Do I need QST account?
    For province of Quebec, QST account is required to collect QST during sales and also required for annual taxation filing.
  • Governmental Other Registrations

  • If your business involves with export or import, you need to register for it. The government of Canada uses the import/export account number to process your customs documents.

  • Do I need import export account?
    If your business involves in importing or exporting physical goods, it is required. The government uses this account to process customs.
  • What is WCB?
    It's the Workplace Safety Board registration, WCB in Alberta, WSIB in Ontario, WSB in BC etc. If your business plan to have employees now or in future, it MUST register with WCB. We register and give you the account number and hook you with WCB authority. Please note, it does not cost monthly premium fees, rather WCB authority will advise on your eligibility of free program or fees.

  • A partnership agreement must be made to open a bank account or obtain any license or permit. A lawyer should draft it including the responsibilities and duties of each partner.

Some basics will include in this agreement such as date of the agreement, capital contributions by partners, the method for transfer of the partnership interest, dissolution of assets, admission of new partners, the death of a partner, decision-making and dispute resolution etc.

    Personalized stamp or seal is a protection against fraudulent activity. It has legal value (by default defends) in case anybody creates false docs or make false loan in your company name. It's highly recommended if your business has frequent transactions or provide receipt, invoices. It's also needed if you go for loan, mortgage, employment contract, service contract or any sub-contract.
  • What is domain name registration?

What happened to the Master Business License (MBL)?

Before October 18, 2021, any unincorporated business registrations in Ontario, including Sole Proprietorships, Partnerships, and Trade Names, were issued a document known as a Master Business License. However, as of October 18, 2021, the Master Business License was phased out and replaced with a new set of documents:

  • Business Name Registration For a Sole Proprietorship
  • Business Name Registration For a Corporation
  • Firm Name Registration For a General Partnership
  • Declaration of an Ontario Limited Partnership
  • Firm Name Registration for an Ontario Limited Liability Partnership
Why can't I register a General Partnership Federally?

The federal corporate registry, Corporations Canada, doesn’t permit the federal registration of unincorporated businesses. Such businesses, including general partnerships, can only be registered at the provincial or territorial level.

How do I choose between a General Partnership and a Limited Partnership?

Choosing between a General Partnership and a Limited Partnership depends on your specific business needs and circumstances.

General Partnership:

  • Management: All partners have equal say in the business and are involved in the day-to-day operations.
  • Liability: Partners agree to unlimited liability, meaning their personal assets are at risk for the business’s debts and obligations.
  • Decision Making: All partners have the authority to make key decisions that affect the partnership.

Limited Partnership:

  • Management: Limited partners do not assist with day-to-day operations. The general partner(s) manage the business.
  • Liability: Limited partners’ liability is limited to the amount of money or property they invest.
  • Profit Sharing: The general partner(s) gets a bigger share of the earnings in exchange for increased contributions and risk.

In summary, if you want all partners to be equally involved in management and decision-making, and they are willing to accept unlimited liability, a General Partnership may be the right choice. On the other hand, if you want to limit the liability of some partners and have a clear separation between management and investment, a Limited Partnership could be more suitable.

What do I need to know after registering?

  3. Additional Permits & Licences: After incorporating your business, you may need to obtain additional permits and licenses based on the nature of your operations. These are typically obtained through your local city hall or municipal office.
What is required to maintain my registration?

In Ontario, it’s mandatory for unincorporated businesses to renew their registration every five years. If they don’t renew within two months of the five-year anniversary, they’ll need to file a new registration.
